Habrevo Inc., ("we", "us" or "our") operating as “ROADKIT” in Ontario, Canada, is a corporation formed pursuant to the Canada Business Corporations Act (R.S.C., 1985, c. C-44). In consideration for permitting your access to our website and online store hosted at https://www.roadkit.com (the “Website”) and other good and valuable consideration, you agree as follows:

These terms and conditions (the "Terms") form a legally binding agreement which govern your access to and use of our Website. By using our Website, you, the user ("you" or "your"), represent and warrant that (a) you are of the age of majority; and (b) you have read and understand these Terms and agree to be bound by them. If you are using the Website on behalf of, or in the employ of, an organization, you are agreeing to these Terms for that organization and representing and warranting that you have the authority to bind that organization to these Terms.

1. Nature of Services and Reseller Status

You acknowledge and agree that ROADKIT operates solely as an authorized third-party retailer ("Reseller") for the brands and products sold on the Website. ROADKIT does not design, manufacture, or test the products available for purchase. All product specifications, claims, performance data, and warranties are provided solely by the original manufacturer. Consequently, ROADKIT assumes no liability for the failure of products to meet manufacturer specifications or for any injury, loss, or damage arising from the use of such products.

2. Manufacturer Warranty and Liability Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROADKIT HEREBY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

All products sold on the Website are sold "as is" and are subject strictly to the limited warranties, if any, provided by the original manufacturer. You acknowledge that any claim regarding product defects, workmanship, materials, or failure must be directed solely to the manufacturer in accordance with their specific warranty policies. While ROADKIT may, at its sole discretion, voluntarily assist customers in facilitating warranty claims with a manufacturer, ROADKIT is not empowered to make final decisions regarding warranty approval, repair, or replacement. The manufacturer’s decision regarding the validity of any claim shall be final and binding.

You further acknowledge and agree that ROADKIT’s ability to facilitate warranty claims is contingent upon ROADKIT maintaining an active commercial dealer relationship with the manufacturer. ROADKIT shall have no obligation to process, facilitate, or otherwise handle warranty claims for products manufactured by brands with whom ROADKIT has terminated its dealer relationship or with whom ROADKIT no longer holds an active account. In such instances, you agree to contact the manufacturer directly for all warranty services.

3. Warranty Resolution Procedures and Limitations

In the event that ROADKIT elects to facilitate a warranty claim on your behalf, you agree to comply with ROADKIT's specific warranty procedures. You acknowledge that you shall be solely responsible for all shipping and handling costs associated with returning the defective product to ROADKIT or the manufacturer for inspection. ROADKIT assumes no responsibility for items lost or damaged during return transit.

If a warranty claim is approved by the manufacturer but the exact replacement product is unavailable in ROADKIT’s current inventory, ROADKIT reserves the right, at its sole discretion, to request that the manufacturer drop-ship a replacement directly to you. In the event that a replacement is unavailable from both ROADKIT and the manufacturer, ROADKIT reserves the right to issue Store Credit in the amount of the original purchase price in full satisfaction of the claim. You expressly acknowledge that ROADKIT is under no obligation to issue cash refunds for warranty claims unless the manufacturer has explicitly authorized and funded a cash reimbursement to ROADKIT prior to the resolution of the claim. ROADKIT will not advance cash funds for warranty claims settled via manufacturer credit notes.

4. Prices, Orders, and Acceptance

All prices listed on the Website are subject to change without notice and constitute an invitation to make an offer. Your placement of an order does not constitute acceptance by ROADKIT. We reserve the right to accept or reject any order at our sole discretion, including orders that have been automatically processed, for a period of seven (7) days following the date of the order. All orders are subject to product availability. In the event of pricing errors, ROADKIT reserves the right to cancel any orders placed at the incorrect price.

5. Taxes and Duties

You are solely responsible for the payment of all applicable sales taxes, use taxes, value-added taxes, customs, duties, and similar government charges, whether imposed by Canadian or foreign jurisdictions, arising from your purchase of products from the Website.

6. Payment Processing

We utilize third-party payment processors to handle transactions on the Website. By submitting your payment information, you authorize us to transmit strictly necessary information to these processors. You acknowledge that your relationship with such third-party processors is governed by their respective terms and conditions, and ROADKIT shall have no liability for any errors, omissions, or security breaches attributable to such third-party processors.

7. Limitation of Liability

IN NO EVENT SHALL HABREVO INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE WEBSITE OR ANY PRODUCT SOLD THEREON.

IF YOU ARE DISSATISFIED WITH THE WEBSITE OR ANY PRODUCT PURCHASED, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE WEBSITE AND, WHERE APPLICABLE, SEEK A REFUND OR EXCHANGE PURSUANT TO OUR REFUND POLICY OR THE MANUFACTURER'S WARRANTY. UNDER NO CIRCUMSTANCES WILL ROADKIT’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID ROADKIT IN THE LAST TWO (2) MONTHS, OR CAD $50.00, WHICHEVER IS GREATER.

8. Indemnification

You agree to defend, indemnify, and hold harmless Habrevo Inc. and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to, your User Content, any use of the Website's content, services, and products other than as expressly authorized in these Terms.

9. Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Habrevo Inc., its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website without our prior written consent.

10. User Content and Acceptable Use

ROADKIT may permit the submission of user-generated content, including product reviews. By submitting such content, you grant ROADKIT a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate these Terms and will not cause injury to any person or entity.

11. Governing Law and Jurisdiction

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the courts of the Province of Ontario.

12. Severability and Waiver

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. No waiver by ROADKIT of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

13. Entire Agreement and Modifications

These Terms, our Privacy Policy, and our Refund Policy constitute the sole and entire agreement between you and Habrevo Inc. regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website. We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them.
